  • A short description of the transaction, funding requirement
  • The last three years' annual financial statements and latest management accounts of your own business (if applicable) and the business being purchased
  • Financing proposal, information memorandum or brief description of:
  • target company (ownership, group structure, management, industry, key products and services, market niche, competition, etc);
  • proposed transaction (enterprise value, valuation method, purchase price), all parties and structure (legal and tax implications, timelines, terms and conditions); and
  • proposed funding structure (share capital, shareholder, mezzanine and vendor loans, and senior (bank) funding requirements)
  • Last 3 years' annual financial statements and latest management accounts, including debtors and creditors age analyses and asset register, of all parties to the proposed transaction and group companies
  • Operating and capital expenditure budgets and cash flow projections until the end of the next financial year reflecting costs of any organisational changes and financing costs, and highlighting any new or non-recurring operating costs post-transaction
  • Copies of draft or signed legal agreements pertaining to the proposed transaction
  • CVs of key management and balance sheets of existing and prospective direct and indirect shareholders
  • Supporting information and documentation (contracts, product and industry information, websites, company profiles, board packs, business plans, etc) to assist the bank in gaining a good understanding of the business opportunity and/or transaction
